Arent Fox's Pam Deese and Henry Huffnagle Published in The Licensing Journal
Arent Fox partner Pamela Deese and associate Henry Huffnagle have been published in the latest edition of The Licensing Journal, the leading source of in-depth, practice-oriented licensing guidance by top attorneys in intellectual property, computer technology and entertainment law.
Pam and Henry's article, “Properly Allocating Risk in Trademark Licenses - Indemnification” examines the importance for licensors to protect themselves by including indemnification provisions in license agreements.
“In order to appropriately protect one's trademarks subject to a license and preserve a positive brand image, licensors should give serious consideration to obtaining a representation from their licensees that the goods manufactured under a license are of a reasonably acceptable quality based on, among other things, relevant regulations and industry standards,” write Pam and Henry. “Accordingly, to reduce the risk to a licensor, the license agreement should include an appropriately drafted indemnification provision drawn to address, among other issues, claims brought by consumers based on product defects.”
