Jon’s practice focuses on telecommunications and information technology regulatory, litigation, and business matters. He represents competitive and incumbent local exchange carriers (LECs), Internet and voice over Internet protocol service providers (VoIP), wireless telephone companies, Native American Tribes, and equipment manufacturers. For established and startup telecom and technology companies, Jon advises on drafting and negotiating contracts and tariffs, executing mergers and acquisitions, developing business plans, and attracting investment capital. Jon also advises telecommunications carriers and VoIP providers on their regulatory compliance obligations, on both the federal and state levels, including: Determining which federal and state regulations apply to the client in light of the types of services it provides and then advising them on optimal corporate structure and product strategy to minimize the burden of federal and state taxes and regulations Obtaining regulatory authority from state and local regulators and the Federal Communications Commission (FCC), when necessary, for entry into new markets, transfers of control, issuance of new debt or equity, bankruptcy, and termination of service Advising clients in buying and selling telecom businesses and assets, including regulatory and transactional matters relating to bankruptcy Advising new telecom and technology startups on their business plans, and access to sources of federal, state, and private funding Previous Work Jon has been in private practice in Washington, DC, since 1987. Prior to joining Arent Fox, he was a partner in the Washington office of an AmLaw 100 law firm. His experience includes matters involving the rates that telephone companies and Internet companies pay each other when they interconnect and trade traffic, i.e., “access charges” and other forms of “intercarrier compensation.” He has represented clients in every major Federal Communications Commission (FCC) proceeding dealing with the regulation of access charges; has litigated disputes involving access charges in more than a dozen federal courts; has represented competitive telecom carriers in local competition rulemaking proceedings and network interconnection proceedings conducted by the FCC and more than 20 state regulatory commissions; and has represented competitive telecom carriers in over 100 tariff dispute proceedings and rate cases before the FCC and state regulatory commissions.
