Judith B. Kassel is an accomplished advisor with more than 25 years of legal experience in the government contracting and government services industry leading corporate governance initiatives, merger and acquisition activities, government contracts negotiations, and providing counsel on a broad array of corporate issues. Clients turn to Judith for her practical advice and deep experience in the overlay and convergence of regulatory laws with corporate matters. Judith joined Arent Fox after having served for 18 years in senior legal positions at three publicly traded Government contractors. In these capacities, she had the full range of duties of a chief legal officer. Of particular value in her current work for Arent Fox, she handled antitrust, Government contracts and corporate issues generally and took a leading role on a large number of mergers, acquisitions, joint ventures, teaming agreements and other transactions. She is well experienced in using legal tools to enhance business strategies – and bring them to fruition. Client WorkJudith’s work at Arent Fox involves all of the areas that she developed as an in-house general counsel. She provides legal counseling to a broad range of federal and state government contractors – using legal tools to accomplish business purposes. Specifically, she counsels companies relating to the award and performance of government contracts, including litigation of bid protests, preparation of claims, conducting internal investigations, and defending against suspensions and proposed debarments. She works with clients to establish compliance programs. She also has broad experience in negotiating acquisition agreements and other commercial transactions. Previous WorkBefore joining Arent Fox in 2009, Judith served in senior capacities to three publicly traded government contractors. Most recently, she served as Executive Vice President, General Counsel & Secretary at ICF International, Inc., where she established a legal division in a newly public company. Her responsibilities included design of suitable corporate governance structure tin compliance with Sarbanes-Oxley Act, and other SEC requirements, negotiation of corporate acquisition documents as well as a $300 million credit facility. She also provided counseling relating to the performance of the company’s state and federal contracts including its largest contract ever awarded, a contract with the state of Louisiana to provide over $8 billion in aid to the victims of Hurricane Katrina and Rita. Before joining ICF, Judith served as Senior Vice President, Deputy General Counsel & Assistant Secretary to CACI International, Inc. where she served as lead counsel for company acquisitions and associated credit agreements, and counseled the company regarding investment of capital as well as counseled the company on the performance of information technology contracts with the federal and state governments. She also negotiated company joint venture agreements and other partnership agreements. Previously, she served as the General Counsel to GTSI, Corp, a reseller of information technology to the Federal Government. At GTSI, she negotiated credit agreements, partnership, reseller and equipment lease agreements. She also represented the Company before Congress on a broad range of issues. Judith has represented companies on policy and legislative matters before Congress, executive agencies and industry trade associations regarding Government contracting legislation. She has represented clients in connection with Congressional inquiries on Government contracting practices. She has also served as a representative of the Information Technology Association of America in conversations with Congressional members and their staff and prepared Congressional testimony on proposed procurement legislation. Before moving in-house, Judith was an associate at a large multi-national law firm where she represented government contractors on a broad range of issues. Judith was a law clerk for the Honorable James F. Merow on the U.S. Claims Court. Professional ActivitiesJudith was a member of the board of directors of the Washington Metropolitan Corporate Counsel Association from 1997-2000. Previously, from 1994-1997 Judith served as a member of the Steering Committee for the Government Contracts and Litigation Section of the DC Bar Association, and served as a member of the Rules Advisory Committee of the United States Court of Veterans Appeals from 1990-1992. Publications, Presentations, and RecognitionsJudith is a frequent author and lecturer on topics that focus on federal procurement and acquisition strategies, government contracts, and law firms discussing in-house counsel expectations of law firm providers. She has developed and conducted training on general compliance issues, government contract compliance issues, and the procurement integrity act.
