Mark Joachim is a partner in the firm’s Bankruptcy and Financial Restructuring and Corporate Groups. His practice encompasses both new loan transactions and the restructuring of such arrangements.

Client Work

Mr. Joachim has over 20 years of experience representing clients on complex financing arrangements.  Depending upon the specific needs of a particular client,  Mr. Joachim is as comfortable in the restructuring and distressed debt arena as he is in the context of a “new money” corporate finance transaction.

In the restructuring arena, Mr. Joachim regularly represents lenders, creditors, distressed debt investors, official committees, ad hoc groups of creditors, debtor-in-possession lenders and borrowers in connection with bankruptcy proceedings and out-of-court restructurings.

Mr. Joachim’s recent representative matters include advising:

  • The senior lenders to American Media in its out-of-court restructuring.
  • The lenders that financed Safety-Kleen, Inc.’s emergence from chapter 11.
  • A major bondholder and debtor-in-possession lender in connection with the successful Spectrum Brands chapter 11 case.
  • The ad hoc committee of bondholders in the restructuring and exit financing of Tembec Inc., a leading Canadian-based international forest products company.
  • The second lien lenders in international insolvency proceedings for the world’s largest independent designer and manufacturer of driver control systems, Dura Automotive.
  • The second lien lenders in international insolvency proceedings for a leading home builder and  financial services company, Technical Olympic.
  • Wells Fargo as the Agent for the Senior Lenders in connection with the Key3 Media Group Chapter 11 cases.
  • SAC Capital in connection with numerous restructurings of second lien financings, both in and out of chapter 11.

Mr. Joachim also has extensive experience representing first and second lien senior lenders, mezzanine investors, and equity sponsors and borrowers in senior debt, mezzanine and private equity financing arrangements. His areas of focus include acquisition, recapitalization and other leveraged financings; rescue financings; cash flow and asset-based financings; debtor-in-possession and exit financings; cross-border financings; multi-tranche, uni-tranche and mezzanine financings; and restructurings, workouts and bankruptcies. Mr. Joachim is well-known as an expert in second lien financings and complex intercreditor arrangements. He has successfully closed dozens of leveraged finance transactions for lenders utilizing cash flow, asset-based, and hybrid structures.

Previous Work

Before joining Arent Fox, Mark was a partner at a large New York law firm.

Mark is a frequent lecturer on issues such as intercreditor arrangements, distressed investing, and fraudulent transfers.
