Hersh represents owners, large private equity funds, joint ventures, lending institutions, and commercial tenants in all areas of real property law including acquisitions, divestitures, financings, leases, management, and development of hotels, offices, shopping centers, and multifamily residential properties. He is experienced in drafting, reviewing and negotiating purchase and leasing agreements, sublease agreements, loan agreements, mortgages, and all other ancillary finance documents, broker agreements, license agreements, management agreements and offering plans. He also performs due diligence reviews of title, survey and zoning reports, leases, management contracts, and organizational documents.

Finance

• Credit Suisse (Column Financial) in the origination and securitization of a pool of mortgage and mezzanine loans with an aggregate loan amount of $740 million for the refinance of seven prominent Orange County, California office buildings.

• Credit Suisse (Column Financial) in the origination, restructuring, and securitization of a $275 million mortgage and three tier mezzanine loan secured by the W Hotel Union Square and a $290 million mortgage and three tier mezzanine loan secured by the Mandarin Hotel located at the Time Warner Center in New York City.

• HypoVereinsbank in the origination and subsequent restructuring and amendment of a $150 million mortgage and mezzanine loan facility secured by a pool of residential apartment complexes in Maryland.

• Credit Suisse (Column Financial) in the origination and subsequent amendment and securitization of a $300 million mortgage and mezzanine loan secured by the Beverly Hilton Hotel, a landmark hotel located in Beverly Hills, California.

• Tishman Speyer in borrowing $55 million and $50 million mortgage and mezzanine loan facilities to acquire two commercial office parks in Los Angeles, California.

• Many private individuals in the financing or refinancing of their investment properties and/or personal residences.

Acquisitions and Dispositions

• An elementary school in the acquisition of an adjacent townhouse in New York City valued at $12 million.

• An estate in the disposition of a prominent townhouse in New York City valued at $29 million.

• High net worth individual in acquiring a sponsor owned condominium unit valued at $20 million in New York City.

• Family owned real estate company in disposing of a $2.2 million warehouse and manufacturing facility in New York City.

Litigation

• Two private real estate companies in evicting their large commercial tenants which were in default of their lease agreement.

• High net worth commercial landlord in his breach of contract claim against a former tenant for lost rent and other damages.

Prior to joining Arent Fox, Hersh was assistant professor of business law at New York University, Leonard N. Stern School of Business. He also previously worked as a real estate associate at a few prominent New York law firms.
