Arent Fox Served as VSE’s Legal Counsel on the Deal

Americas M&A Atlas Awards has nominated VSE Corporation’s acquisition of Wheeler Bros., Inc. as a finalist for this prestigious award. The acquisition, in which Arent Fox served as VSE’s legal counsel, has been selected as a finalist in the categories of North America Corporate Deal of the Year for small-mid markets and as the US Deal of the Year for small-mid markets.

Americas M&A Atlas Award nominations are based on the deal performance metrics and creative approaches to achieve successes. “Our team evaluated 604 eligible deals of which only 196 deals are finalists contenders across 38 unique categories of awards,” said Shanta Kumari, managing partner and CEO of Global M&A Network. “Accordingly, we congratulate all the finalists for completing an impressive variety of compelling and game changing transactions.”

Arent Fox represented VSE in its recent acquisition of Wheeler Bros., Inc., a supply chain management company headquartered in Somerset, Pennsylvania. Wheeler Bros. supplies vehicle parts to the US Postal Service and Department of Defense. The purchase price was $180 million in cash, with the potential for additional payments up to $40 million. The acquisition was successfully headed by Arent Fox partners Carter Strong, Joe Rieser, and Bill Goodrich, counsel Judith Kassel, and associates Rania Hago, Susan Kleiman, and Dan Lopez.

The winners of Americas M&A Atlas Awards are selected independently based on criteria such as deal novelty, rationale, structure, and risk, as well as sector and market complexities. Other performance criteria include: jurisdictional intricacies, professionalism and leadership, resourcefulness, and various quantitative and qualitative metrics. The winners of this award will be revealed at the gala ceremony, being held on October 25, 2011 at The Harvard Club in New York City.
