Thomas' practice focuses on real estate and corporate transactions, corporate and partnership law, including complex entity structuring, and sports law. Thomas' practice encompasses a wide variety of transactions, including:

  • Representing regional and national clients in connection with all aspects of real estate transactions, including acquisitions and dispositions, leasing, development, construction, financing, and management of hotels, office buildings, shopping centers, multifamily apartment complexes and industrial properties.
  • Representing charter schools in connection with a wide variety of matters, including acquisition, financing, and development of campus projects.
  • Representing of lenders and borrowers in complex debt and equity transactions, consensual real estate workouts, restructurings, and reorganizations.
  • Formation and structuring of joint ventures through corporations, partnerships, and limited liability companies.
  • Stock and asset purchase transactions.
  • Acquisitions, dispositions, and financing of professional sports franchises and sports and entertainment facilities.

  • Representing DLC Management Corporation in connection with the acquisition, financing, equity structuring and sale of retail shopping centers throughout the east coast.
  • Representing Quadrangle Development Corporation in connection with the acquisition, financing, equity structuring, and sale of office buildings, hotels and multi-family apartment buildings in the Washington metropolitan area.
  • Representing The Buccini/Pollin Group in connection with the acquisition, financing, equity structuring, and sale of office buildings and hotels throughout the mid-Atlantic region.
  • Representing Washington Real Estate Investment Trust in connection with the acquisition, financing, and sale of office buildings and shopping centers in the Washington metropolitan area.
  • Representing AllianceBernstein in connection with the acquisition and financing of a portfolio of twenty multifamily apartment complexes located in the United States.
  • Representing Edge Principal Advisors in connection with the acquisition, financing, and disposition of multifamily apartment complexes in the United States.
  • Representing KIPP DC in connection with the acquisition and financing of the Douglass campus through a long term ground lease with the District of Columbia and the financing of renovations to that campus through a New Market Tax Credit financing transaction.
  • Representing KIPP DC in connection with the acquisition and financing the Shaw campus through a long term ground lease with the District of Columbia and the financing of renovations to that campus through a New Market Tax Credit financing transaction.
  • Representing KIPP DC in connection with the acquisition of the Webb campus through a long term ground lease with the District of Columbia and a rated, thirty-five year, fixed rate bond financing transaction. Proceeds from this bond financing transaction were used by KIPP DC to renovate and expand the Webb School and were also used to refinance a substantial portion of KIPP DC’s existing debt.
  • Representing KIPP DC in connection with the ground lease of the Hamilton Campus from the District of Columbia and a financing that included tax-exempt bonds and a separate NMTC financing.  The proceeds of the bond financing and NMTC financing are currently being used to renovate and expand the Hamilton Campus.
  • Representing Capital City Public Charter School in connection with the acquisition of the Rabaut campus, through a long term ground lease with the District of Columbia, and the financing of renovations to that campus through loans from multiple lenders. 
  • Representing Capital City Public Charter School in connection with the refinancing of the Rabaut Campus using a non-bank qualified tax-exempt bond financing transaction.
  • Representing Meridian Public Charter School in connection with the acquisition of Harrison campus, through a long term ground lease with the District of Columbia, and the financing of renovations to that campus through a New Market Tax Credit financing transaction.
  • Representing Inspired Teaching Demonstration Public Charter School in connection with a joint venture with Charter School Incubator Initiative (which is an affiliate of Building Hope), a ground lease of the Shaed campus and the financing of renovations to that campus with a structured financing arrangement that involves a loan from a commercial bank.
  • Representing Two Rivers Public Charter School in connection with the ground lease of the Young School (located at 820 26th Street N.E., Washington, DC) from the District of Columbia and a planned financing transaction to finance the renovation of the Young School.
  • Representing Washington Sports & Entertainment Limited Partnership in connection with the financing of the Verizon Center, which is located in Washington, DC and is the home of the Washington Wizards, the Washington Capitals, the Washington Mystics, and the Georgetown Hoyas.
  • Representing of the owners of Washington Sports & Entertainment Limited Partnership in connection with the sale of all of its interests in the Washington Capitals, the Washington Mystics, the Washington Wizards, Verizon Center and the Washington-Baltimore Ticketmaster franchise to Monumental Sports & Entertainment.
  • Representing Brooklyn Arena, LLC and the Brooklyn Nets in connection with suite licensing and the food and beverage agreement for the Barclays Center, which is located in Brooklyn, New York.
  • Representing a client in connection with the acquisition of the Tampa Bay Rays.

Thomas was named as a leading real estate lawyer by Legal 500 in 2014. In 2013, Thomas was featured in The National Law Journal’s “District’s Deal Makers of the Year” report. He is also a frequent speaker at commercial real estate industry events including Bisnow.

In May of 2007, Bisnow (formerly Bisnow on Business) named Thomas one of the top 35 rising stars under the age of 35 in the Washington, DC commercial real estate industry.
