ArentFox Schiff Welcomes Preeminent Restructuring and Bankruptcy Partner in Boston

ArentFox Schiff is pleased to announce the addition of partner Todd Feinsmith to its Bankruptcy & Financial Restructuring practice in the firm’s Boston office. Todd brings three decades of experience handling high-profile and sophisticated matters related to distressed mergers and acquisitions (M&A), business reorganizations, and debt restructurings.

Todd counsels both acquirers and targets in distressed M&A transactions, as well as their boards of directors and corporate officers, in relation to their fiduciary duties and personal risks. He has represented private equity funds, hedge funds, and other strategic buyers in distressed acquisitions of companies in a range of industries, including retail, food and beverage, technology, transportation, and health care. Todd advises on a wide range of issues that arise in distressed transactions, including strategically acquiring debt of a distressed target company, negotiating debt-for-equity swaps, and structuring debtor-in-possession (DIP) credit facilities.

His practice also focuses on representing debtors, creditors’ committees, and other parties, including contract counter parties and lenders in complex Chapter 11 reorganization cases, as well as in the formulation and negotiation of out-of-court restructurings. With extensive experience in the areas of creditors’ rights and secured lending, Todd works with financial institutions and other secured lenders to restructure complex credit facilities, as well as with lender entities to enforce their rights and remedies in state and federal courts.

Additionally Todd counsels clients on general business issues and entrepreneurial endeavors, and regularly advises clients in Asia on M&A transactions, restructurings, and other corporate matters.

Todd joins ArentFox Schiff from Troutman Pepper, where his past roles included serving as managing partner of the firm’s Boston office and as a national co-chair of the Corporate Restructuring and Bankruptcy practice.

Outside of his legal practice, Todd serves as an adjunct instructor of law at Cornell Law School and regularly speaks at national conferences on topics related to distressed M&A, bankruptcy, and restructuring. He has previously been named among Best Lawyers in America based on peer reviews and was recently recognized as one of Boston Magazine’s Top Lawyers of 2023 in the Bankruptcy and Workout category.
